We are currently seeking an experienced professional to join our team in the role of Assistant Company Secretary

The Corporate Governance & Secretariat function (CG&S) serves as principal advisor to boards of directors on corporate governance matters, and leads and implements a world-class corporate governance practice throughout the Group providing end to end governance advice. The CG&S function consists of c.230 FTE across 25 countries. It is led globally by the Group Company Secretary & Chief Governance Officer who reports directly to the Group Chairman and Group CEO.
CG&S provides company secretarial and governance services including:
Support and advice to Group Board, Principal and Material subsidiaries including meeting organisation, director’s training, evaluations and induction.
Support and advice to Lines of Businesses, Group Functions and Digital Business Services
Core legal entity compliance for subsidiaries, 100 branches and representative offices across 64 countries and territories.
Transactional support and advice on legal and regulatory compliance across all jurisdictions including transactions, document execution, filings, capital restructuring, and asset sales.
Shareholder services, AGM, share registrars, and external stakeholder management
The role holder as part of the CG&S team will drive the Function’s 5 priorities:
1. Protecting the Bank
2. Connecting the Bank
3. Supporting the delivery of strategy
4. Drive informed decision making, and do all this whilst
5. Simplifying Governance
What you’ll do:
Job Description
To lead a small sub-team within the CG&S offshore Bangalore team.
To support the provision of company secretarial services to HSBC Group companies
To actively contribute to the promotion of corporate governance best practice and standards
To assist the CG&S onshore team(s) in supporting the boards of directors of HSBC Group companies and corporate governance frameworks
To provide support for board and committee meetings within including scheduling meetings, developing annual planners, preparation of meeting packs, drafting minutes and managing any actions arising.
To assist the CG&S onshore team in the maintenance of statutory registers and the submission of statutory filings
To support arrangements for Annual General Meeting(s)
To draft statutory and/or regulatory documentation relating to corporate entity changes
To support the CG&S onshore team in fulfilling statutory and regulatory reporting requirements of HSBC Group
To assist the CG&S onshore team in the maintenance of issued share capital including issuance arising from employee share plans and SCRIP dividend payments
To support in dividend planning, including drafting of dividend timetable and calculation of SCRIP dividend price
To manage the schedule of director share interests
To prepare regulatory and stock exchange announcements and filings
To manage and respond to shareholder requests
To assist with the on-boarding of non-executive directors and other relevant individuals to HSBC
To respond to requests for CG&S owned information
To contribute to the development of strategic and operational objectives of CG&S
To assist in CG&S centralized ad hoc projects
Requirements
What you will need to Succeed in this Role:
Company Secretarial or Legal qualification with 5-6years of relevant experience essential
Ability to effectively engage and negotiate with senior stakeholders, demonstrating considered foresight and highly developed interpersonal skills
Be change oriented and able to cope with pressure and tight deadlines
Able to understand and consolidate diverse and complex business information and identify / mitigate risk issues.
Understanding of the theory and tools of governance
Ability to deal effectively with ambiguity, complex matrix environment and multiple stakeholders
Ability to look at the bigger picture as well as have a keen eye for detail
Strong analytical capability with the ability to synthesis complex data
Outstanding written/verbal communication and presentation skills
Creative approach to problem solving
Proven ability to prioritize competing demands
Highly developed negotiation and interpersonal skills
Good commercial and financial management ability
Strong understanding of HSBC Group policies, values and businesses
Ability to deal effectively with ambiguity, complex matrix environment and multiple stakeholders
