Job Description : JOB SUMMARY
This position is responsible for assisting in timely compliance with applicable provisions of Company Laws/ SEBI/ FEMA/ RBI for Abbott entities in India, holding and conducting Board/Committee/Shareholders Meetings, maintenance of statutory records and registers, preparing Company Annual Report, liasoning with Share Transfer Agents/ Shareholders and redressal of queries/grievances, Dividend payments and drafting of Leave license/ lease agreements.
Supervisory Management Responsibility
Supervising activities of Registrar and Share Transfer Agents
Induct trainees and impart training
Monitor compliance with various policies and procedures laid down by the Board of Directors by the relevant departments.
Key job responsibilities include:
Ensure Company Law/ SEBI/ RBI/ FEMA compliances, filing of various forms/reports/returns required under the said laws/rules and regulations
Responsible for maintenance of Records/ Registers under the Companies Act and SEBI requirements
Maintaining the database of Directors and capital for all Abbott entities in India;
Preparing Board information folders, agenda and board notes with relevant supporting documents for Board and various committee meetings;
Make all the necessary arrangement for the meetings of Board and its committees, drafting of minutes, arranging sitting fees to Directors, etc.
Coordinating with Board Directors/ internal stakeholders for timely disclosures, maintenance and updation of the same from time to time
Coordinating with concerned departments for information/documents required for Annual Report, Directors Report, Corporate Governance Report, Management Discussion and Analysis Report, Notice of AGM, etc.;
Liaoning with printers for printing of Annual Report, coordinating with Share Transfer Agents and mailing agents for timely dispatch of the same to shareholders
Make necessary arrangements for shareholders’ meetings, including venue and various contractors, compilation of information deck for the meetings;
Formulating relevant SOPs for secretarial work and ensure adherence to the same
Responsible for liasoning with and monitoring activities of Registrar and Share Transfer Agents for shares related work and redressal of investor queries, grievances, etc.
Responding to shareholder queries within prescribed timelines and maintaining database of share related disputes and litigations
Responsible for timely dividend payments to shareholders and coordinating with Share Transfer Agents, Bankers and other service providers for printing of dividend warrants, dispatch of warrants, electronic payments to the shareholders, dividend warrant revalidation, coordination with bankers for remittance of dividend to three promoter entities and compliance with related statutory formalities
Monitoring the unpaid dividend accounts and ensure transfer of the same to Investor Education and Protection Fund as per statutory requirements
Issue and allotment of Debentures/ Equity to foreign promoter entities and ensuring timely statutory filings in this regard
Maintaining database of all company-owned immovable properties, Lease / Leave and License Agreements etc. relating to properties leased by the Company for business and residential purposes
Coordinate with Statutory Auditors, Secretarial Auditors, Cost Auditors, Internal Auditors, Scrutinizers, etc for any documents/ information required and ensuring their timely appointments and filing of various returns for the same
Research on various Company Law/ SEBI regulations and other related matters
MINIMUM QUALIFICATIONS
Minimum Education
Qualified Company Secretary from the Institute of Company Secretaries of India
Law degree (preferred)
Minimum Work Experience
Experience Details
Minimum 7-8 years’ experience in working with listed companies
Key Competencies Requirements
In-depth knowledge of Company law, SEBI Rules and Regulations, RBI and FEMA
Strong communication skills to liaise with various external/internal stakeholders
