The opportunity:

We are looking for a Company Secretary with a minimum 7 years of post qualification experience to work with us as a Manager, Company Secretary.

Responsibilities:

Corporate Secretarial Compliances

Taking care of complete legal and procedural aspects in handling of Board Meeting, General Meeting and Various Committee Meetings (Audit Committee, Nomination & Remuneration Committee, CSR Committee, Risk Committee etc.) including preparation of notices, agenda, and minutes of these meetings.
Strong knowledge and can provide advisory in matters relating to listing agreement requirements, SEBI (Listing obligations and disclosure requirements – LODR) and other SEBI regulations
Responsible for maintaining all relevant statutory registers and records and filing of various statutory forms & returns with the MCA, RBI etc.
Handling key compliances / projects arising out of strategic initiatives and corporate actions such as structuring, rights issue, buyback, demat of shares, dividend distribution etc.
Strong knowledge and experience in M&A deals, Share Purchase Agreement, Shareholder’s agreement, private placement etc.
Drafting and implementation of policies applicable to the organization such as corporate governance, code of conduct, whistle blower etc.
Liaisoining with RTA / Depositories on matter related to transfer & transmission of shares, dematerialization of shares and handling of Shareholder grievances on the various matters.
Handling and managing statutory audit, internal audit, Secretarial audit etc. and liaising with various external authorities and auditors
Support and coordinate with internal departments including Treasury, Legal, Operations, Purchases etc. to resolve their issues related to Secretarial Matter in a manner which are consistent with organization Policy.
Ensure timely FEMA compliances such as filing ODI, APR, ESOP forms, etc.
Handling CSR related compliances
Assistance in managing secretarial compliance for overseas subsidiaries
Actively tracking changing legal requirements for Secretarial function and ensure its preparedness and compliance of the same
Requirements (Desires skills & experience):

Minimum 7 to 8 years’ post qualification experience as a qualified Company Secretary; well versed with New Companies Act 2013 and SEBI regulations
Candidates having experience in Listed Company would be preferred
Candidates from Mumbai should only apply
Strong analytical skills with high level of attention to detail
Excellent verbal and written communication skills
Strong interpersonal skills and the ability to establish effective relationships at all organizational levels
Highly motivated, independent with quality mindset
Basic knowledge of MS word, excel, power point
