Job Description : My client is looking for a Paralegal with 5-7 years experience, who must be based in the UAE.
MAJOR FUNCTIONS
Undertake a review of legal documents related to Banking, Company formation, Investments, Real Estate acquisition and corporate affairs. Carry out Corporate Services function related to various formation and management of offshore company, Trusts and Foundations. Work with the Finance team to develop an understanding of tax implications in various investments, real estate and company structures. Advice JFO senior management on potential compliance requirements related to Banking, Company formation, Investments and Corporate affairs. . The position is also expected to advise on contract negotiations, especially on matters involving confidentiality, data protection (GDPR) and dispute resolutions
ESSENTIAL FUNCTIONS
Legal
Review legal documents and agreements using commercial and legal angle (especially on matters involving confidentiality, data protection (GDPR) and dispute resolutions). Assess risk and formulate a record of mitigants.Constantly monitor ESR reporting (and similar) requirements for various entities in different jurisdictions and update JFO senior management team about potential implications and solutions.Review of due diligence material related to new investments/assets. Review on Banking forms, investment documents, company structure, memorandums, loan agreements, pledge and lien agreements.Liaison with external lawyers and consultants, where necessary.Good understanding of international legal systemsAn understanding of Real Estate and securities investment documents is an advantage.
Corporate and compliance services
Undertake function of corporate services related to formation and management of offshore companies, Trusts and FoundationsA good understanding and knowledge of company setup.Be a custodian of all resolutions and registries for various companies.Ensure compliance with documentation and filling requirements.Maintain organised files for all the company related matters.
Reporting and Communication
For each of the entities and agreements: maintaining of records, registers of members, directors and secretaries, updating company licences; keeping an organized folio of constitutional documents.Dealing with all correspondences, collating information and writing periodic reports, thereby ensuring seamless communication with the JFO senior management.
Minimum Educational, Technical Qualifications/Certifications Required
Bachelor’s degree in Law or any equivalent qualifications
Minimum 5-7 years of relevant post qualification experience
Salary AED 18,000-20,000
