Position : Corporate Paralegal

Job Description : This position supports attorneys in the Office of General Counsel (OGC). All tasks are performed under the supervision and direction of attorneys. The tasks include, but are not limited to preparation of legal documents, legal research, compilation of records, review and summarizing of documents, timely regulatory, court and administrative filings, and communicating with internal and external stakeholders regarding legal matters impacting the organization.
Assisting attorneys with the preparation of documents.
Acting as liaison among all internal parties for scheduling and sharing information.
Organizing and managing documents, including the creation of spreadsheets and presentations.
Coordinating the collection, review, and production of documents.
Researching factual issues using in-house files and outside reference sources.
Compiling information and preparing statistics, charts, graphs, and other summaries to detail the findings.
Working with personnel in various court systems, BCBSM or subsidiary departments, state, and federal agencies, including the Michigan Department of Insurance and Financial Services, legislative/governmental staffs, and other BCBS plan personnel.
Manage project timelines, document their progress, and accurately communicate any associated risks to attorneys or management.
Perform other related duties as required.
QUALIFICATIONS
Bachelor’s degree and completion of an ABA-certified legal assistant program required.
Two (2) years of experience as legal assistant preferred.
Demonstrated legal research skills.
Proficient use of LEXIS-NEXIS or similar software.
Proficient use of Microsoft Office applications including Word, Excel, and PowerPoint.
Must be articulate in both written and oral communications.
Must organize and prioritize assignments without constant supervision.
Must be able to analyze routine fact situations.
Must be effective in investigating matters including interviewing relevant individuals when necessary.
Other related skills and/or abilities may be required to perform this job.
Corporate
Assist attorneys with general corporate transactions, real-estate, and mergers and acquisitions, including preparation of documents and due diligence reviews.
Prepare corporate governance documents and regulatory filings for BCBSM and its subsidiaries which includes the monitoring and review of such documents to ensure accuracy, completeness, and compliance.
Draft and negotiate procurement and non-disclosure agreements under the direction of an attorney.
Serve as the OGC’s liaison in support of assigned projects, including communicating with federal and state government agencies and collaborating with business partners across the organization.
